WHAT IS THE PROCESS OF EITHER SELLING MY COMPANY OR RESTRUCTURING ITS FINANCES ?

Briefly, after you have made the decision to use Capital Markets Group, Inc., the process consists of;

1.   Collect data [financial and other]

2.   Value your company

3.   Review Operations and Finances

4.   Prepare a Background Information Document [including financial review, financial forecasts, operations review, strategic plan summary, market analysis, etc.]

5.   Develop Alternative and Equivalent Deal Structures

6.   Identify specific and qualified "target" lenders or buyers

7.   Obtain concurrence on the Background Document, Deal Structures, and with whom the deal will be discussed

8.   Obtain a Confidentiality Agreement from those to be contacted

9.   Contact and present the deal to those identified

10. Conduct preliminary negotiations with those who express an interest

11. Conduct advanced negotiations with those who have a continuing interest

12. Prepare "Points of Agreement" document for incorporation into Definitive Purchase Agreement or Loan Agreement or Investment Agreement

13. Consult with attorney and tax advisor in their work related to the preparation of documents for closing,

14. Review closing documents

15. Attend the closing . . .and

16. CONTINUE TO WORK with our client [at no charge] for 6 months after closing.

WHAT DOES CAPITAL MARKETS GROUP, INC. DO DURING THIS PROCESS?

All of the above PLUS provide you with an analysis of a potential lender's or buyer's perspective of your company's strengths and weakness and how, or even if, you should work with them BEFORE we start contacting the lenders or buyers.

 

WHAT DO I DO DURING THIS PROCESS?

First and foremost, you continue to devote your time and talent to running your company and taking care of your customers, suppliers and employees.

In the initial stages [steps 1-8 above], we will need to meet in person or by telephone once a week.  You will need to provide 1-2 hours per week reviewing our weekly written status reports and providing us with information we may need.

In the "secondary stage" [step 9 above], you will need to meet with us by telephone or in person 1-2 times per week to discuss issues we may have as a result of our preliminary negotiations with those who have expressed a preliminary interest.

During advanced negotiations [steps 10 & 11 above], you may be busy as much as 2-3 hours per day meeting [in person or by telephone, email, fax] with us and the interested parties developing the immediate and long term points of the Agreement.  

This process [steps 10 & 11] may last as little as 1-2 weeks or as long as 2 months.

Your attorney and accountant will likely take 30 days working with us 1-2 hours per day drafting and reviewing the Agreement.

The Closing takes 2-3 hours where you review and sign all documents.

 

HOW LONG DOES THE PROCESS TAKE?

Whether it's a corporate financing assignment or the sale of  your company, the entire process typically takes 90 days to 6 months [or more].

We represent privately held companies in the sale of the company or its capital restructuring.

We represent our clients only to corporate, institutional, financial or strategic buyers or lenders. 

The exception is a Management Buyout where the management wishes to buy the company for whom it works.  We are experts in arranging financing for management teams to buyout their company.
