MERGERS & ACQUISITIONS  

 

A successful merger or acquisition requires a foundation of some basic information upon which negotiations and closings can be successfully concluded.

Whether buying a company or selling a company, it is mandatory that both parties have clearly identified their near-term and long-term objectives such that the seller or acquirer can be carefully evaluated to determine if it meets those objectives.

Especially in the case of a seller, those identified objectives should include the personal objectives of the owner as well as the company.

Additionally, and especially in the case of the seller, the Company to be sold should have been thoroughly analyzed with alternative valuations (based on alternative deal structures) performed PRIOR to initiating discussions with the buyer.

Oftentimes, the owners of companies with annual revenues less than $75 million simply respond to an unsolicited offer to buy their company.  This procedure puts the seller at a distinct disadvantage.  The selling company finds itself always responding to the buyer's offer as opposed to initiating discussions which would have the buyer respond to the seller's objectives.

The obvious areas of difficulty between buyer and seller are PRICE and TERMS.  The two usually counterbalance each other.  That is why it is necessary to have alternative deal structures and specific objectives well-defined BEFORE discussions or negotiations begin.
